§4: Termination

§4.1: Reasons that may lead to suspension of Your access:

Wrong use of our services (use for purposes not supported by our services)
Politics or political content whatsoever. This includes but is not limited to race, religion, and sexuality, as well as other ‘touchy’ topics that could lead to heated arguments.

Wrong behaviour in third-party sites/platforms. This includes everything that is written above.
Overusing our services e.g. multiforming (filling same form with same information more than 2 times).
You’ve received 3 strikes within 90 days.
§4.2: Reasons that may lead to strike on Your Clippsly account:

Not sticking to the rules of our forms (frequent mistakes).
Submitting inappropriate content.
Publicly insulting Company’s good name.
Copyright infringements.
Failed QC (Quality Control)
§4.3: Reasons that may lead to softlock on Your Clippsly account:

To many failed QC’s (Quality Controls).
Unactive account for more than a year. §4.4: We reserve the right to suspend, strike, or softlock your access to Clippsly, our services, or our social media accounts if you violate our terms and conditions or engage in inappropriate behavior.

§4.5: Some reasons that may lead to suspension of your access include, but are not limited to, misusing our services, discussing politics or other sensitive topics, engaging in inappropriate behavior on third-party sites, overusing our services, or receiving three strikes within 90 days.

§4.6: Additionally, we may issue strikes on your Clippsly account for frequent mistakes on forms, submitting inappropriate content, insulting our company’s reputation, copyright infringements, or failing our quality control measures.

§4.7: If you receive a softlock on your account, this may be due to too many failed quality control measures or inactivity for more than six months. However, softlocks are appealable at any time by providing our support team with a release that meets our quality control standards.

§4.8: Please note that account suspension is not appealable after the first 24 hours from the punishment. If your account is suspended, you will not be allowed to use any of our services or social media accounts, and any attempts to create new accounts will be immediately blocked.

§4.9: Upon termination, your right to use our services will cease immediately. In the event of account termination or softlock, we reserve the right to seize any funds or earnings made from audio assets on Clippsly. We encourage you to review our terms and conditions carefully to ensure that you comply with all our rules and regulations. §5: Takedowns

§5.1: In order to maintain a platform that respects intellectual property rights and upholds legal standards, our staff reserves the right to take down your release under the following circumstances:

§5.2: Please note that if your release is not listed on our platform, such as on Roblox, you will need to contact us directly to request its takedown.

§5.3: Once your release has been taken down, you will no longer be able to republish it with Clippsly, and appeals for takedowns are not permitted.

We take copyright infringement seriously and encourage all users to ensure that the content they release on our platform is original and does not violate any intellectual property rights. If you have any questions or concerns about takedowns or our policies, please do not hesitate to contact our support team. We are here to assist you with any inquiries you may have.

§6: Limitation of Liability

§6.1: While we strive to provide a high-quality service, it is important to acknowledge that unforeseen circumstances may arise. Therefore, it is essential to understand the limitations of our liability. By using our service, you agree that the liability of the Company and its suppliers under any provision of these terms is limited as follows:

Please be aware that some states do not allow the exclusion of implied warranties or the limitation of liability for incidental or consequential damages. Therefore, in those states, the limitations mentioned above may not apply. In such cases, the liability of each party will be limited to the greatest extent permitted by law.

Please note that while the Company is granted Publishing Rights, you retain all ownership and copyright to your content. The Publishing Rights granted to the Company are limited to the scope necessary for publishing, distributing, and promoting your work on Clippsly and related platforms.

§8: Royalties and Compensation:

§8.1. Royalties: As an artist on Clippsly, you understand and agree that you are entitled to royalties or compensation for the usage of your content on our platform. The specific details regarding royalty rates, payment schedules, and methods of payment will be outlined in a separate agreement between you and Clippsly.

We will make reasonable efforts to provide accurate and timely royalty statements and payments, subject to any applicable withholding taxes or deductions as required by law.

§8.2. Soft Lock and Profit Distribution: In order to ensure that non-active accounts do not remain idle on our platform and to prevent the unauthorized use of copyrighted material, Clippsly has implemented a soft lock system. If your account is soft locked due to too many failed quality control measures or prolonged inactivity (more than six months), we reserve the right to automatically distribute any accumulated profits from your account among other active artists on the platform.

§8.3. Fair Distribution: The distribution of profits from soft-locked accounts will be carried out in a fair manner, ensuring that the earnings are shared among active artists who contribute original and legitimate content to Clippsly. This measure helps maintain the integrity of our platform and ensures that artists who actively engage with the community are rewarded for their work.

§8.4. Appeal Process: If your account has been soft locked, you have the opportunity to appeal the decision by submitting a release that meets our quality control standards. Upon successful approval, your account will be reinstated, and you will regain access to your accumulated profits.

Please note that the soft lock system and profit distribution are implemented to protect the rights and interests of all artists on Clippsly. It encourages active participation and discourages inappropriate or unauthorized use of copyrighted material.

§9: Roblox Marketplace Distribution Eligibility

§9.1: Artists with accounts on Clippsly that are younger than 6 months are not permitted to distribute their content through the Roblox Marketplace. This restriction is in place to ensure the quality and integrity of the content offered on the Roblox Marketplace.

§9.2: Any attempt to bypass this eligibility requirement and distribute content on the Roblox Marketplace using methods not authorized by Clippsly will result in immediate account termination and additional punitive actions outside the scope of Clippsly’s services.

§9.3: Artists who wish to distribute their content on the Roblox Marketplace must first meet the minimum account age requirement of 6 months. Once this requirement is met, artists can submit their content for consideration on the Roblox Marketplace in accordance with the guidelines provided by both Clippsly and the Roblox platform.

§9.4: We take the integrity of our distribution channels seriously and are committed to maintaining a fair and transparent environment for all artists. If you have any questions or concerns about the eligibility criteria for Roblox Marketplace distribution, please do not hesitate to contact our support team for clarification and assistance.

§10: Use of Company Spaces and Assets by Non-Account Users

§10.1: Users who do not have an active Clippsly account but utilize our company spaces, including social media accounts and other platforms, are required to adhere to the following guidelines. The Company reserves the right to restrict access to our spaces without providing a reason.

§10.2: Respectful Behavior: Users are expected to maintain respectful, friendly, and kind interactions within our company spaces. Engaging in attacks on other users or using derogatory language is strictly prohibited.

§10.3: No Inappropriate Content: Users must refrain from posting or discussing any content that is inappropriate, offensive, or against the policies of the respective platforms. Violating this rule may result in an immediate permanent ban without prior warning.

§10.4: Avoid Spamming: Users should refrain from sending multiple consecutive messages in a row or in a short period of time. This includes sending duplicated messages that may disrupt the flow of conversation.

§10.5: No Political Discussions: Political discussions, including topics related to race, religion, and sexuality, as well as other sensitive subjects that could lead to heated arguments, are strictly prohibited.

§10.6: Compliance with Platform Terms: Users must adhere to the terms and policies of the platforms they are using, including but not limited to Discord, X, and the Roblox platform. Violations of these terms may result in restricted access or other punitive actions, as determined by the Company.

§10.7: Compliance with Guidelines: Users utilizing our company spaces are expected to comply with these guidelines at all times. Failure to adhere to these guidelines may result in restricted access or other punitive actions, as determined by the Company.

§10.8: Changes and Modifications: The Company reserves the right to modify or update these guidelines for the use of company spaces by non-account users. Users are advised to review these guidelines periodically to ensure compliance with the most up-to-date requirements.

§11: Use of Clippsly Artists’ Music on Video Streaming Platforms

§11.1: Users who wish to incorporate music from Clippsly artists into their content on video streaming platforms such as YouTube, Twitch, TikTok, and others are permitted to do so under certain conditions. However, the Company reserves the right to take action against content that violates our policies.

§11.2: Permitted Usage: Users are allowed to use music from Clippsly artists in their videos or live streams, provided that their content does not fall into any of the following categories:

§11.3: Copyright and DMCA: Content that violates these restrictions may be subject to takedown notices and copyright claims under the Digital Millennium Copyright Act (DMCA) or other applicable copyright laws. The Company reserves the right to take action to protect the interests of our artists and their work.

§11.4: Responsible Use: Users are encouraged to responsibly use Clippsly artists’ music and ensure that their content complies with these guidelines and all relevant platform policies. Failure to do so may result in the removal of the video or stream and potential legal consequences.

§11.5: Reporting Violations: If you encounter content on video streaming platforms that you believe violates these guidelines and includes music from Clippsly artists, you may report it to the respective platform for review and action.

§11.6: Cooperation: The Company is committed to fostering a positive and respectful online environment for both content creators and artists. We appreciate the cooperation of users in using Clippsly artists’ music responsibly and within the boundaries of these guidelines.
